These Terms of Use ("Terms") constitute a legal agreement between you and Codari Solucoes de Tecnologia LTDA ("we," "us," "our," or "Company"), the operator of the NovoLead platform. By accessing, registering, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Important: If you disagree with any part of these Terms, you must immediately discontinue use of our platform and services.

Definitions & Scope

The Platform

NovoLead is a Software as a Service (SaaS) platform designed for creating interactive landing pages, quizzes, and lead generation funnels. The platform and all associated services, content, and features are collectively referred to as "Services."

Users

"User," "you," or "your" refers to any individual or legal entity that registers for, accesses, or uses our platform, whether through a free trial, paid subscription, or any other arrangement.

Supplementary Agreements

Certain features or services may be governed by additional specific contracts or terms. When such agreements exist, they supplement these general Terms of Use. In the absence of specific agreements, these Terms shall apply in full.

Acceptance & Modifications

Binding Agreement

By creating an account or using NovoLead, you enter into a binding electronic contract with Codari. Your continued use of the platform constitutes ongoing acceptance of these Terms.

Right to Modify

We reserve the right to update, modify, or replace these Terms at any time. Material changes will be communicated through email or prominent platform notifications. Your continued use after such modifications constitutes acceptance of the revised Terms.

No Waiver

Any tolerance or leniency shown by Codari regarding non-compliance with these Terms does not constitute a waiver of our rights. We may enforce any provision at any time without prior notice.

Account Registration & Access

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use NovoLead. By registering, you represent and warrant that you meet these requirements.

Account Information

You agree to provide accurate, current, and complete information during registration and to promptly update such information to maintain its accuracy. You are solely responsible for all activities conducted through your account.

Login Credentials

Your username and password are personal and non-transferable. You must:

Keep your credentials confidential
Not share access with any third party
Immediately notify us of any unauthorized access
Accept full responsibility for all activities under your account

Account Security

You acknowledge that sharing credentials, engaging in "group buy" arrangements, or allowing multiple users to access a single account is strictly prohibited and constitutes a material breach of these Terms, subject to immediate termination and legal action.

Subscription Plans & Payment

Service Tiers

NovoLead offers various subscription plans with different features, limits, and pricing. Specific details are available on our pricing page and may change periodically.

Payment Processing

All payments are processed through secure third-party payment gateways. These payment providers have their own terms, policies, and privacy practices that govern their services. We recommend reviewing their terms before completing any transaction.

Subscription Billing

Monthly Plans: Automatically renew every 30 days unless canceled
Annual Plans: Automatically renew every 12 months unless canceled
Billing occurs on the anniversary of your initial subscription date
We will send email notifications 7 days before and on the day of renewal

Pricing & Modifications

Subscription fees are stated in the currency displayed at checkout
We reserve the right to modify pricing with 30 days' advance notice
Price changes do not affect current subscription periods already paid
Promotional discounts are temporary and do not establish ongoing pricing commitments

Payment Methods

Credit/debit cards
Other methods as displayed at checkout
You authorize us to charge your payment method for all fees incurred

Failed Payments

If payment fails:

Your access to premium features may be suspended
We will attempt to notify you and retry payment
After 30 days of non-payment, your account may be terminated
You remain responsible for all outstanding fees

Service Usage & Restrictions

Permitted Use

You may use NovoLead solely for lawful purposes consistent with these Terms, including:

Creating marketing funnels and lead generation campaigns
Building interactive quizzes and surveys
Managing captured leads and analytics
Integrating with permitted third-party services

Prohibited Activities

You expressly agree NOT to:

Technical Restrictions:

Reverse engineer, decompile, or disassemble any part of the platform
Attempt to bypass security measures or access restrictions
Use automated tools (bots, scrapers) without authorization
Overload or disrupt platform infrastructure

Content Restrictions:

Distribute illegal, harmful, or offensive content
Infringe intellectual property rights
Engage in phishing, fraud, or deceptive practices
Impersonate others or misrepresent affiliations

Commercial Restrictions:

Resell, sublicense, or transfer your account
Share access through group purchases or account sharing
Download, copy, or redistribute platform content without authorization
Use the platform to compete with or replicate our services

Legal Restrictions:

Violate any applicable laws or regulations
Engage in money laundering or financial fraud
Distribute malware or malicious code
Harvest user data without consent

Content Standards

All content you create or distribute through NovoLead must:

Comply with applicable advertising and consumer protection laws
Be truthful and not misleading
Respect intellectual property rights
Not contain adult content unless explicitly permitted and properly age-gated
Not promote illegal activities or harm

Account Suspension

We reserve the right to immediately suspend or terminate accounts that violate these Terms, engage in prohibited activities, or pose security risks. Suspended accounts will not receive refunds.

Intellectual Property Rights

Our Ownership

NovoLead, including but not limited to its software, design, content, trademarks, logos, and all associated intellectual property, is owned exclusively by Codari or our licensors. These Terms grant you no ownership rights.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform strictly in accordance with these Terms. This license:

Does not include source code or proprietary algorithms
Cannot be sublicensed or transferred
Automatically terminates upon breach or account termination
Is personal to you and cannot be shared

Your Content

You retain ownership of content you create using NovoLead (text, images, campaigns). By using our platform, you grant us a limited license to host, display, and process your content solely to provide the Services.

User Responsibilities

You represent and warrant that:

You own or have rights to all content you upload
Your content does not infringe third-party rights
You will not hold us liable for your content

Copyright Infringement

We respect intellectual property rights. If you believe content on our platform infringes your copyright, contact us at [email protected] with:

Description of the copyrighted work
Location of the infringing material
Your contact information
Statement of good faith belief
Statement of accuracy under penalty of perjury

Data & Privacy

Data Processing

Your use of NovoLead involves the collection and processing of personal data. Our Privacy Policy details how we handle your information and your rights under Brazilian law (LGPD).

User Data Security

While we implement industry-standard security measures, no system is completely secure. You acknowledge that:

Internet transmission carries inherent risks
You are responsible for maintaining backup copies of your data
We are not liable for unauthorized access beyond our reasonable control

Lead Data

When you collect lead information through NovoLead:

You are the data controller for such data
You must comply with applicable data protection laws
You must have proper legal basis for collecting and processing data
You must provide adequate privacy notices to your leads

Service Availability & Support

Uptime Commitment

While we strive for maximum uptime, we do not guarantee uninterrupted service. The platform may be unavailable due to:

Scheduled maintenance (with advance notice when possible)
Emergency repairs or security updates
Circumstances beyond our control (force majeure)

No Warranties

NovoLead is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

Merchantability or fitness for a particular purpose
Accuracy or reliability of results
Error-free or uninterrupted operation

Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to amounts paid by you in the 12 months preceding the claim
We are not responsible for third-party services, content, or links
You use the platform at your own risk

Support Services

Paid subscribers receive technical support through designated channels. Support does not include:

Custom development or consulting
Training beyond provided documentation
Assistance with third-party integrations not officially supported

Third-Party Services & Links

Integrations

NovoLead may integrate with third-party services (payment processors, email providers, analytics tools). These integrations:

Are governed by the third party's terms and policies
May change or become unavailable without notice
Are provided as a convenience without endorsement
Are your responsibility to configure and use properly

External Links

Our platform may contain links to third-party websites or resources. We:

Do not control or endorse such sites
Are not responsible for their content, practices, or policies
Recommend reviewing their terms before use

Cancellation & Refunds

Cancellation Rights

You may cancel your subscription at any time through:

Cancellation Effect

Monthly subscriptions: Access continues until end of current billing period
Annual subscriptions: Access continues until end of current subscription year
No automatic refund upon cancellation
No refund for unused portion of subscription period

Right of Withdrawal (Brazilian Consumer Law)

Under Article 49 of the Brazilian Consumer Protection Code, you have 7 calendar days from subscription date to withdraw from the contract without penalty, provided:

You have not extensively used the platform
You properly notify us of withdrawal
This right applies only to first-time subscriptions, not renewals

Refund Processing

Approved refunds are processed within 5-10 business days to the original payment method.

No Guarantee of Results

We do not guarantee specific outcomes, revenue, or performance results from using NovoLead. Any examples or case studies represent exceptional results and should not be considered typical.

Termination

Termination by You

You may terminate these Terms by canceling your account and ceasing platform use.

Termination by Us

We may immediately terminate or suspend your access if you:

Breach these Terms or our policies
Engage in fraudulent or illegal activities
Abuse our support team or act in bad faith
Fail to pay fees when due
Pose security or legal risks

Effect of Termination

Upon termination:

Your access to the platform ceases immediately
You remain liable for all outstanding fees
We may delete your account data after a reasonable period
Provisions of these Terms that should survive termination remain in effect
No refunds are provided unless legally required

Account Reinstatement

Terminated accounts may only be reinstated at our sole discretion and may require payment of all outstanding amounts plus reinstatement fees.

Dispute Resolution

Governing Law

These Terms are governed by the laws of Brazil, specifically the laws of the State of São Paulo, without regard to conflict of law principles.

Jurisdiction

Any disputes, claims, or controversies arising from these Terms or your use of NovoLead shall be exclusively resolved in the courts of São Paulo, São Paulo, Brazil. You irrevocably consent to the jurisdiction of these courts.

Informal Resolution

Before initiating legal action, parties agree to attempt good-faith informal resolution through direct negotiation.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any supplementary agreements, constitute the entire agreement between you and Codari regarding NovoLead.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

No Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or government actions.

In case of translation conflicts, the Portuguese version of these Terms shall prevail.
